Rental Agreement

RENTAL AGREEMENT TERMS & CONDITIONS

By placing an order with Ooh La La Wedding Rentals, LLC, the customer will digitally sign this Rental Agreement, and thereby indicate that they agree with the following Terms and Conditions of this Rental Agreement.

PARTIES & DEFINITIONS

This is a legal and binding contract for the purpose of a short term rental of Products between the signer of this document (hereinafter referred to as “Renter”), and Ooh La La Wedding Rentals, LLC, www.oohlalaweddingrentals.com, (hereinafter referred to as “Ooh La La Wedding Rentals”). “Products” are defined as all items specified in the “Products Rented” section of Renter’s Order Form. “Event Date” is defined by the date of the event selected by the Renter on their Order Form.

OWNERSHIP

Ooh La La Wedding Rentals LLC maintains full ownership of all rented Products.

RENTAL PERIOD

Rental period starts from the time the Products are considered "Delivered" to the Renter's shipping address (the date and time of delivery as reflected in the UPS system and considered to be Proof of Delivery) and ends once Products are considered “Returned” as of the date and time that UPS takes possession of the Products and scans the return shipping labels.

During the Rental period while Products are in Renter's possession the Renter agrees that the rented property shall [1] not be used beyond the intended capacity; [2] not be used in any manner for which it was not designed or designated; [3] not be used near an open flame; [4] not be used in a negligent manner.

PRODUCT HANDLING

Renter agrees to abide by Proper Handling Guidelines while handling products throughout the rental period. Proper Handling Guidelines require Renter to [1] handle products only by the base at all times; [2] not to push on or pull by any flower parts (heads, stems, leaves, etc.); [3] not to dismantle the product base construction and not to remove the base lid.

RENTER’S RESPONSIBILITY FOR RENTAL PRODUCTS

Renter assumes full responsibility for the care and condition of the rented Products throughout the Rental period.  Products may be left at Renter’s address without signature if Renter is unavailable to accept the packages at the time of delivery. Renter bears full liability for Products left unattended. Renter may request the packages to be held at a UPS location for pickup or by contacting UPS prior to delivery.

DELIVERY AND RETURN SHIPPING

Ooh La La Wedding Rentals provides free Ground shipping and free pre-paid return shipping label(s) via UPS for orders of $800 and over. For orders under $800, individual indicated shipping rates (both ways) apply. All Product returns must be completed using the pre-paid return labels; if Renter chooses alternate method for return, Renter bears all costs and liability.

Renter agrees to return Products in the same packaging in which they were received, which is necessary to ensure Products are not damaged while in transit for return shipping. If Renter misplaces the packaging materials, Renter shall contact Ooh La La Wedding Rentals for instructions on how to package items for return. Renter bears all extra costs for returning Products in non-original packaging.

HOW TO RETURN

Renter agrees to return Products to UPS within two days after the Event Date (Event Date as it is specified on the order). If this day falls on a Sunday or Federal Holiday, the Renter shall return Products on the following day. A $50 late fee will be charged per day, if Products are not returned to UPS by the date/time agreed to herein. Ooh La La Wedding Rentals is not responsible for any personal property unintentionally returned together with Products.

Products are considered “Returned” as of the date and time that UPS takes possession of the Products and scans the return labels. Renter must return Products to a physical UPS location; Renter may not leave packages at a UPS drop box. Renter should remove all original shipping labels from the boxes and affix the pre-paid return labels provided. Renter should also ensure that UPS scans all boxes in the order, and obtain a receipt for all boxes returned. The receipt will document the quantity and weight of boxes returned.

LOST, STOLEN, DAMAGED OR UNRETURNED PRODUCTS

Renter agrees to return Products and any other Ooh La La Wedding Rentals property provided in the same condition as when they were received. Renter agrees to full financial responsibility should the rental Products and/or any of the components, parts, or supplies be unreturned, stolen, lost, damaged, destroyed by fire or any other means, or altered in any way, other than normal wear and tear throughout the Rental period. Normal wear and tear includes minor scratches, minor shape changes, or other similar minor damage.

Renter shall be responsible for any and all repair fees and replacement costs of Products returned with significant damages, damages beyond repair and Products not returned.

The replacement costs of Products damaged beyond repair and/or unreturned are estimated at 150% of the rental cost. Example of replacement costs: Small - $45; Medium - $83; Large - $180; Garland - $15.

Renter’s digital signature authorizes Ooh La La Wedding Rentals to bill/charge Renter for the cost of any repairs or replacement fees as agreed to herein.

DEFECTIVE OR MISSING ITEMS

Ooh La La Wedding Rentals will test all Products before they are shipped to ensure all items are in proper condition. Renter must notify Ooh La La Wedding Rentals of any problems with received Products by phone or email within 48 hours of delivery. This includes missing Products, defective Products, damaged Products, or any other issues. Failure to provide notice within 48 hours of delivery will result in a waiver of any such claim by the Renter.

PAYMENT FOR THE ORDER

A minimum of 50% deposit is required to place an order. Payment in full is due no later than 14 calendar days prior to event date. Renter’s digital signature indicates Renter’s authorization for Ooh La La Wedding Rentals to bill/charge Renter in accordance with payment terms and conditions agreed to herein.

CANCELLATION/CHANGE ORDER POLICY

Order cancellation requests received at least 30 full calendar days before Event Date will receive full refund of the entire order amount. Order cancellation requests received less than full 30 calendar days but at least 15 full calendar days before Event Date will receive 50% refund of the full order amount. Order cancellation requests received less than 15 full calendar days before Event Date will receive zero refund and the Renter remains responsible for paying full order amount to Ooh La La Wedding Rentals, LLC. Renter’s digital signature indicates Renter’s authorization for Ooh La La Wedding Rentals to bill/charge Renter for cancellation fees as agreed to herein.

Cancellation requests must be submitted via email to orders@oohlalaweddingrentals.com.

Changes to an existing order can be made up to 15 full calendar days prior to Event Date and are subject to Product availability. All change requests should be emailed to orders@oohlalaweddingrentals.com.

VISUAL REPRESENTATION OF PRODUCTS

Ooh La La Wedding Rentals works with multiple flower vendors to obtain artificial flowers necessary for producing Products in their entirety. Flower availability depends strictly on vendors’ supply chain and is not guaranteed by Ooh La La Wedding Rentals. Ooh La La Wedding Rentals reserves the right to replace unavailable flowers with maximum similar/suitable ones on as-needed basis without the obligation to inform the Renter of such replacements. Due to such replacements, photos and videos of Products will be updated on as needed/when possible basis and may not necessarily represent Products with 100% accuracy at any particular point in time. Renter may request to verify photos of specific Products prior to placing an order. Ooh La La Wedding Rentals will attempt to respond to all such inquiries as much as possible.

WARRANTIES, REPRESENTATIONS, AND INDEMNIFICATION

Renter hereby acknowledges that the rental Products are of a size, design and quantity selected by Renter and that Ooh La La Wedding Rentals has not made and does not make any representation, warranty, or covenant, express or implied, with respect to the condition, quality, durability, or suitability of the rental Product for Renter’s specific uses or applications. Ooh La La Wedding Rentals will not be liable to Renter for any loss or damage caused directly or indirectly by the rental Products and rental service, by any inadequacy thereof, or defects therein. Renter will indemnify Ooh La La Wedding Rentals and hold harmless against any claim, action, damages, and liability, including attorney’s fees, arising out of or connected with Renter’s use of the rental Products or Renter’s use of Ooh La La Wedding Rentals rental service.

GOVERNING LAW AND CHOICE OF FORUM

This Agreement is governed by the laws of the State of Virginia. In the event of any dispute concerning this Agreement or the products rented hereunder, including any breach of this Agreement, suit may be brought only in a court of competent jurisdiction in the State of Virginia.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous drafts, agreements, arrangements and understandings between them, whether written or oral, relating to this subject matter.
